("Scheduloid," "we," or "us") and our website at scheduloid.com, along with our related applications and services (collectively, the "Service"). These Terms of Use are a legally binding contract between you and Scheduloid regarding your use of the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service you agree that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree, you may not use the Service.
2. Service Overview
Scheduloid provides a social media management platform that enables users to create, schedule, publish, and analyze content across multiple social media channels. Additional features include AI-powered content generation, automation workflows, engagement tools, and analytics.
3. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years old
- You have not previously been suspended or removed from the Service
- Your use of the Service complies with all applicable laws and regulations
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Accounts & Registration
To access most features you must register for an account. You agree to provide accurate information and keep it up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you believe your account has been compromised.
5. Payment Terms
5.1 Pricing
Premium features require payment. Current pricing is available at scheduloid.com/#pricing. Scheduloid reserves the right to change pricing with reasonable advance notice. All fees are in U.S. Dollars and are non-refundable unless otherwise stated.
5.2 Subscriptions
The Service may include automatically recurring payments ("Subscription"). By activating a Subscription, you authorize Scheduloid to charge your payment method on each billing cycle until you cancel. You must cancel before the next renewal date to avoid being charged for the next period.
5.3 Delinquent Accounts
We may suspend or terminate access to the Service for accounts with unpaid balances. Delinquent accounts may be charged additional collection fees.
6. License & Restrictions
6.1 License Grant
Subject to your compliance with these Terms, Scheduloid grants you a limited, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use at the service level for which you have paid.
6.2 Restrictions
You may not:
- Reproduce, distribute, or publicly display the Service
- Modify, reverse-engineer, or create derivative works of the Service
- Interfere with or circumvent any security or access control features
- Use the Service on behalf of any third party or in a service-bureau capacity
- Use the Service for any purpose that violates applicable law
6.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant Scheduloid a perpetual, royalty-free right to use that feedback for any purpose, including improving the Service.
7. Intellectual Property
The Service, including its visual design, software, graphics, and all other materials ("Materials"), is owned by Scheduloid or its licensors and protected by intellectual property laws. You may not use the Materials except as expressly authorized by these Terms.
8. User Content
8.1 Your Content
You retain ownership of any content you upload, create, or schedule through the Service ("User Content"). By providing User Content, you grant Scheduloid a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your User Content as necessary to provide and improve the Service.
8.2 Responsibility
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not infringe any third-party rights
- Your User Content does not contain hateful, threatening, harassing, or otherwise objectionable material
- Your User Content complies with the content policies of the social networks you publish to
8.3 Content Moderation
Scheduloid reserves the right, but has no obligation, to monitor, review, and remove User Content that violates these Terms or that we find objectionable at our sole discretion.
9. Third-Party Services
The Service integrates with third-party social media platforms and other services. Your use of those platforms is governed by their own terms and privacy policies. Scheduloid is not responsible for third-party services or their use of your data.
10. Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose
- Violate any third-party intellectual property or privacy rights
- Interfere with the security or operation of the Service
- Upload viruses, malware, or other harmful code
- Collect personal information about other users without consent
- Impersonate any person or entity
- Impose unreasonable load on our infrastructure
- Sell or transfer your account access
11. DMCA & Copyright
Scheduloid respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content hosted on the Service infringes your copyright, please send a DMCA notice to support@scheduloid.com including:
- A description of the copyrighted work
- A description of the infringing material and its location
- Your contact information
- A statement of good faith belief and accuracy under penalty of perjury
12. Termination
These Terms remain in effect until terminated. We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time by contacting support@scheduloid.com. Upon termination, your license to use the Service ends immediately and you must cease all use.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCHEDULOID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SCHEDULOID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. SCHEDULOID'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless Scheduloid and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms will be resolved through binding arbitration, except for matters eligible for small claims court.
